1. Introduction

Welcome to Assistant Core. These Terms of Service ("Terms") govern your access to and use of our AI assistant platform, including web chat, voice interfaces, embedded widgets, connected IoT devices, and all related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

2. Definitions

• "Platform" refers to the Assistant Core AI assistant platform, including all software, APIs, and interfaces.
• "Services" refers to all features and functionality provided through the Platform, including AI chat, voice interaction, knowledge base, memory system, and IoT device integration.
• "AI Services" refers to the artificial intelligence capabilities provided through the Platform, including language model processing, speech recognition, text-to-speech, and retrieval-augmented generation.
• "Input" refers to any text, audio, files, documents, or other content you provide to the Platform.
• "Output" refers to any text, audio, or other content generated by the AI Services in response to your Input.
• "Knowledge Base" refers to documents, URLs, and data you upload to the Platform for retrieval-augmented generation.
• "Memory" refers to facts and preferences automatically extracted from your conversations and stored to improve future responses.
• "Assistant" refers to a configured AI assistant instance with its own identity, settings, knowledge base, and permissions.
• "Account" refers to your registered user account on the Platform.
• "User Content" refers to all Input, Knowledge Base materials, and any other content you create or upload to the Platform.

3. Account Registration

• You must be at least 13 years old to create an account and use our Services
• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms

4. Service Description & AI Disclosure

Assistant Core is an AI assistant platform that provides the following capabilities:

• AI-powered chat conversations using third-party language models (including OpenAI, Anthropic, Google, xAI, and DeepSeek)
• Voice interaction through speech recognition (ASR), text-to-speech (TTS), and voice activity detection (VAD)
• Knowledge base with retrieval-augmented generation (RAG) for document-grounded responses
• Intelligent memory system that retains context across conversations
• Tool and MCP (Model Context Protocol) integration for extended capabilities
• IoT device integration for voice-enabled hardware
• White-label deployment with custom branding for business customers

5. Acceptable Use

You agree to use our Services only for lawful purposes. You shall not:

• Use the Services to generate content that is harmful, threatening, abusive, harassing, defamatory, or illegal
• Attempt to extract, reverse engineer, or replicate the underlying AI models or platform technology
• Use the Services for automated decision-making that affects individuals' legal rights without human oversight
• Generate deepfake content, misinformation, or content designed to deceive others about its AI-generated nature
• Use the Services to spam, phish, or distribute malware
• Circumvent any access controls, rate limits, or security measures
• Use the Services in violation of any applicable laws, regulations, or third-party rights
• Upload malicious content or attempt to compromise the security of the Platform or other users
• Resell or redistribute access to the Services without our written authorization

• Your data is processed in accordance with our Privacy Policy, which is incorporated into these Terms by reference
• We do not use your conversations, inputs, or outputs to train or fine-tune any AI models
• Our Memory System stores extracted facts from your conversations to improve future responses. You can view and delete stored memories at any time.
• You retain ownership of all content you create and upload to the Platform
• We implement industry-standard security measures including encryption, access controls, and multi-tenant data isolation

8. Third-Party AI Providers

Our Platform routes your requests to third-party AI providers for processing. By using our Services, you acknowledge that:

• Your Input is transmitted to third-party AI providers (including OpenAI, Anthropic, Google, xAI, and DeepSeek) for generating responses
• Each AI provider processes your data according to their own terms of service and privacy policies
• We select AI providers based on quality, reliability, and data protection standards, but we do not control their processing
• You can choose which AI model and provider to use for your assistant in your account settings
• We are not responsible for the content, accuracy, or appropriateness of Output generated by third-party AI models

9. Payment & Subscriptions

• Certain features of the Services may require a paid subscription
• Subscription fees are billed in advance on a monthly or annual basis as selected
• All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy
• We reserve the right to change pricing with at least 30 days' advance notice
• Free tier usage may be subject to limitations on features, usage volume, or AI model availability
• Failure to pay may result in suspension or downgrade of your account

10. Service Availability

• We strive to provide continuous service but do not guarantee 100% uptime
• Services may be temporarily unavailable for maintenance, updates, or due to technical issues beyond our control
• We reserve the right to modify, suspend, or discontinue features with at least 30 days' notice for material changes
• Free tier usage may be subject to additional limitations during periods of high demand
• We are not liable for any losses resulting from service interruptions or unavailability

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSISTANT CORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES. This includes, without limitation, damages arising from: (a) errors, inaccuracies, or hallucinations in AI-generated Output; (b) reliance on AI Output for professional, legal, medical, or financial decisions; (c) unauthorized access to or alteration of your data; (d) third-party AI provider outages or errors; or (e) IoT device malfunctions. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Assistant Core and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content, including any content generated through your use of the AI Services.

13. Termination

• You may terminate your account at any time through your account settings or by contacting us
• We may terminate or suspend your account immediately for violation of these Terms or applicable law
• Upon termination, your right to use the Services ceases immediately
• After account termination, we will retain your data for 30 days, during which you may request a data export. After 30 days, all data is permanently deleted.
• Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will continue to apply

14. White-Label & Multi-Tenant Use

If you use our Platform to deploy white-labeled or multi-tenant AI assistants for your own customers:

• You are responsible for ensuring your end users agree to acceptable use terms consistent with these Terms
• You are responsible for compliance with applicable data protection laws regarding your end users' data
• Each assistant operates in a separate tenant with isolated data — you may not access other tenants' data
• You must clearly disclose to your end users that they are interacting with an AI system
• We may terminate or restrict white-label access if your deployment violates these Terms or harms our platform

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and sending an email notification at least 30 days before the changes take effect. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Services.

16. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Services shall be resolved by the competent courts of Ho Chi Minh City, Vietnam. Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
